Terms of Service

Last updated October 9, 2026

The short version:

  • Your workspace content belongs to you or your organization. We use it to run Dugout for you, and we do not train our own AI models on it.
  • Agents act on the instructions and access you give them. Review their work before you rely on it.
  • Paid plans renew automatically, and usage is charged at our published rates.
  • Dugout is provided as is, and our liability is limited.

This summary is not part of the terms. The sections below are.

1. Agreement

These Terms of Service (“Terms”) govern your use of Dugout’s websites, web, desktop and mobile apps, agents, APIs, and related services (the “Services”), provided by Thirsty Beast LLC (“Dugout”, “we”, “us”). By creating an account, accepting an invitation to a workspace, or using the Services, you agree to these Terms and acknowledge our Privacy Policy.

If you use the Services for an organization, you accept these Terms on its behalf and confirm you have authority to do so, and “you” means that organization. If your organization has signed a separate agreement with us for the Services, that agreement controls where it conflicts with these Terms. You must be at least 18 years old, or the age of majority where you live if that is higher, to use the Services.

2. Accounts and workspaces

Give us accurate information and keep it current. Keep your credentials secure. You are responsible for activity under your account, and you must tell us promptly if you learn of unauthorized use.

A workspace belongs to the organization or person who created it (the “Workspace Owner”). Workspace Owners and the administrators they appoint control the workspace’s membership, permissions, agents, integrations, settings, and content, and may access, export, change, or delete that content. If you join a workspace someone else controls, they decide what happens to its content, including content you added.

3. Your content

“Customer Content” means what you and your workspace put into the Services or receive from them, including messages, files, documents, boards, call audio and transcripts, repository content, agent instructions, and agent output.

  • You or your Workspace Owner own Customer Content. You grant Dugout a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display it only as needed to provide, secure, and support the Services, to comply with law, and as described in our Privacy Policy.
  • We do not use Customer Content to train our own AI models.
  • You are responsible for Customer Content. You confirm that you have the rights and consents needed to use it in the Services, including any personal data of others it contains, and that doing so does not violate the law or anyone’s rights.
  • We may use aggregated or de-identified information about how the Services are used, which does not identify you or reveal Customer Content, to operate and improve them.

4. Agents and AI features

The Services include AI features and agents that can read and write content in your workspace, run code on isolated machines, browse the web, work in repositories and connected services, and take actions such as posting messages, editing documents, or opening pull requests.

  • Agents act for you. An agent acts on the instructions, permissions, and credentials that you and your workspace give it. You are responsible for what agents do on your behalf, including in third-party systems, and for choosing appropriate permissions, review steps, and spending limits.
  • Review before you rely. AI output can be inaccurate, incomplete, insecure, or offensive, and may be similar to output others receive. Review it, including any code, before you use, deploy, or publish it. Do not use the Services as a substitute for professional advice, or to make decisions with legal or similarly significant effects on people without appropriate human review.
  • Model providers. Agents run on models from third-party providers, and we send them the content needed to do the work you request. When you connect your own API key or provider account, your agreement with that provider governs its processing and its charges.
  • Machines and sessions. Dugout Machines and live sessions run what you and your agents direct. Do not give an agent access or secrets you are not prepared for it to use. We may stop any run or machine that threatens the Services or violates these Terms.
  • We may add, change, or retire models, providers, and AI features.

5. Acceptable use

You will not use the Services, or direct an agent to use them, to:

  • break the law, infringe or misappropriate anyone’s rights, or harass, defraud, or harm others;
  • create or share content that sexually exploits minors or incites violence;
  • send spam, or collect data from websites or services in violation of their terms or the law;
  • upload or run malware, or probe, attack, or overload any system, including ours, or mine cryptocurrency;
  • access accounts, workspaces, or data without authorization, or get around security measures, usage limits, or billing;
  • copy, resell, or reverse engineer the Services, or use them to build a competing product, except as the law expressly allows; or
  • run anything where a failure could cause death, injury, or environmental damage.

We may investigate suspected violations, and remove content or suspend access to prevent harm.

6. Third-party services

The Services connect to products we do not control, such as GitHub, Google, AI model providers, and websites your agents visit. Their terms govern your use of them, and we are not responsible for them, their availability, or what they do with data you choose to send them. When you enable an integration, you authorize us to exchange data with it as needed to make it work.

7. Plans, fees, and usage

  • Plans. Paid plans are billed in advance for each billing period and renew automatically until cancelled. Cancellation takes effect at the end of the current period.
  • Usage. Agent work, machines, voice, and other metered features are charged at the rates on our usage pricing page when the usage occurs. You are responsible for all usage in your workspace, including by its members and agents. Charges incurred before a spending cap takes effect are still owed.
  • Balances. Included usage resets each billing period and does not carry over. Purchased usage carries over as described on our pricing pages. Usage balances have no cash value, are not refundable, and end when your workspace is closed.
  • Payment and taxes. You authorize us and our payment processor to charge your payment method for fees and applicable taxes. Fees do not include taxes, which you are responsible for, other than taxes on our income.
  • Refunds. Fees are non-refundable except where these Terms or the law say otherwise.
  • Price changes. We will give at least 30 days’ notice of a price change, which takes effect from your next billing period. If you do not agree, cancel before then.
  • Non-payment. If a payment fails, we may suspend paid features or move the workspace to a free plan until it is resolved.
  • Disputes. Raise any billing dispute within 60 days of the charge.

8. Free plans and beta features

Free plans, trials, and features labeled beta, preview, or experimental are provided as is, may be limited, and may change or end at any time. To the extent the law allows, Dugout has no liability for them. We may delete the content of a free workspace that has been inactive for 12 months, after giving notice.

9. Suspension and termination

You may stop using the Services and close your account or workspace at any time.

We may suspend or end your access immediately if you materially breach these Terms, do not pay, create a security or legal risk, or if the law requires it. We may also end the Services, or your access to them, for any other reason with at least 30 days’ notice, and will then refund prepaid fees for the unused period.

When your access ends, export any Customer Content you want to keep. After termination we may delete it, subject to our legal obligations. Sections that by their nature should survive termination do, including fees owed, disclaimers, limits of liability, indemnity, and governing law.

10. Our intellectual property

Dugout and its licensors own the Services, including their software, designs, and trademarks. We grant you a limited, non-exclusive, non-transferable right to use the Services under these Terms. If you send us feedback, we may use it without any obligation to you.

11. Disclaimers

The Services, including agents and AI output, are provided “as is” and “as available”. To the fullest extent permitted by law, Dugout disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, that output will be accurate, or that content will not be lost.

12. Limitation of liability

To the fullest extent permitted by law, Dugout will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, or business interruption, arising out of or related to the Services or these Terms, even if advised of their possibility. Dugout’s total liability for all claims arising out of or related to the Services or these Terms will not exceed the greater of the amounts you paid Dugout for the Services in the 12 months before the event giving rise to the claim and US$100. These limits apply to every theory of liability, even if a remedy fails of its essential purpose.

Some jurisdictions do not allow some of these exclusions or limits. There, they apply to the fullest extent allowed.

13. Indemnity

You will defend, indemnify, and hold harmless Dugout and its affiliates, officers, employees, and agents against any third-party claim, and the resulting losses, damages, and costs (including reasonable legal fees), arising out of your Customer Content, your use of the Services (including actions agents take at your direction), your integrations, or your breach of these Terms or the law.

14. Changes

We change the Services continually and may add or remove features. We may also update these Terms. For a material change, we will give at least 30 days’ notice by email or in the Services before it takes effect, unless the change is required by law or addresses a security risk, in which case it may take effect sooner. Using the Services after a change takes effect means you accept it.

15. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. The state and federal courts located in Wyoming have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Services, and both parties consent to it. Each party waives any right to a jury trial. Any claim must be brought within one year after it arises, where the law allows such a limit. Either party may seek an injunction in any court to protect its intellectual property. Nothing in these Terms limits rights you have under consumer protection laws that cannot be waived.

16. General

  • These Terms, with the Privacy Policy and any order form or pricing page they refer to, are the entire agreement between you and Dugout about the Services.
  • You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Neither party is liable for delays caused by events beyond its reasonable control, other than failures to pay.
  • You confirm that you are not located in a country subject to U.S. embargo or on a U.S. restricted-party list, and you will not use the Services in violation of export control or sanctions laws.
  • We may send notices by email or in the Services. If a provision is unenforceable, the rest stays in effect. Not enforcing a provision is not a waiver of it. The parties are independent contractors, and there are no third-party beneficiaries.

17. Contact

Questions about these Terms go to Thirsty Beast LLC through our contact page. Legal notices go by mail to Thirsty Beast LLC, 30N Gould Street, #47580, Sheridan, WY 82801.
